In short
- You pay an order that we issue after we have agreed scope with you in writing. Paying records your payment; a person at Complifly activates your account after verifying it.
- Complifly is software that helps you prepare, submit and track e-invoices and e-way bills. You stay responsible for your data, your tax decisions and meeting statutory deadlines.
- Government portals, your GST Suvidha Provider and your ERP are outside our control. We are not responsible for their downtime, limits or changes.
- Your data stays yours. We process your tax documents on your instructions.
- Plans do not renew automatically, and we never charge you without an order.
- Our liability is limited to the fees you paid in the previous twelve months, with the exceptions the law requires.
This summary helps you read the document. The numbered sections below are what apply.
Part A: Using the website
1. Who we are
Complifly is built and operated by S3 Infotech Pvt Ltd, H-49, 2nd Floor, Sector-63, Noida, Uttar Pradesh 201301, India (“we”, “us”). You can reach us at Complifly@s3infotech.in. “You” means the person using the website or, where you act for an organisation, that organisation.
2. Using the website
You may browse this website and use its forms for lawful business purposes. Do not interfere with it, try to gain unauthorised access to any part of it, or use automated tools to submit forms or copy content at a rate that burdens it. If you find a security weakness, please report it as described on our Responsible disclosure page.
3. Information on the website
The website gives general information about Complifly. It is not legal, tax or compliance advice; take your own advice before relying on it for a compliance decision. We take care to keep it accurate, but descriptions of the product are not a promise of any capability or result. What you receive is what your order and these terms state. Anything marked “Not yet available” is not part of the service and cannot be ordered.
4. Enquiries and requests
Sending a form (for example a demo, Health Check, application or proposal request) asks us to get in touch. It does not create a contract, does not oblige either of us to go ahead, and does not entitle you to any service. A Health Check report is based on what you tell us; it is a reviewed statement of your position and not an audit. We handle what you send under our Privacy Policy.
5. Website content and links
The website, its text, design, logos and videos belong to us or our licensors. You may view and print pages for your own internal business use, but not reproduce or republish them without our written permission. The website links to other systems, including our documentation. We are responsible for our own sites, not for third-party sites we link to.
Part B: Buying and using the Complifly service
6. How these terms and your order fit together
Your agreement with us is made up of: (1) any agreement signed by both of us; (2) the proposal and order we issue to you, which state your plan, billing period, price, included volumes and any add-ons or programme terms; (3) these terms; and (4) the policies they refer to, which are the Refund and Cancellation Policy, the Privacy Policy and the Cookie Policy. If they conflict, they apply in that order.
You accept these terms when you accept our proposal or order, or when you pay an order, whichever comes first. If you accept for an organisation, you confirm that you are authorised to bind it.
7. The service
Complifly connects to your ERP, prepares e-invoice (IRN) and e-way bill requests, submits them to the government systems through a GST Suvidha Provider (GSP), and keeps a history of status and changes. Your order states which plan you have and what it includes. There are four plans: Starter, Growth, Enterprise and Custom.
Complifly is in pilot. During the pilot we may add, change or retire features. If we make a change that materially reduces what your order includes, we will tell you before it takes effect, and you may end the plan and receive a refund of the unused part of the period you have paid for.
8. Plans, prices and volumes
Prices on the Pricing page are list prices in Indian rupees, shown before GST. GST is added where it applies and is stated on your order. A price binds us only when it appears on an order we issue to you after we have agreed scope with you in writing. The Custom plan is quoted and is not payable online.
Each order states the monthly volume of IRNs and e-way bills it includes. If you go above it, we will talk to you about what happens next. We do not stop a statutory document from being generated because of your volume.
Add-ons are priced in your order. Where something is not yet available, we say so and do not sell it. Charges of third parties you deal with directly, such as your own GST Suvidha Provider or ERP vendor, are not part of our fees unless your order says so.
9. Offers, codes and programmes
A promotion or coupon code is applied by us when your order is prepared, and only if it is valid at that moment for the plan, the billing period and the dates. A code does not change a price on its own, cannot be combined with another discount, and can be withdrawn before an order is issued.
A referral code only records who introduced you. It gives neither you nor the person who introduced you any credit, discount or payment.
Founding Customer and Design Partner are programmes that sit on top of a plan. Their terms, including any commercial terms, are agreed with you individually and in writing. We do not offer an automatic self-serve trial; where an evaluation period helps, it is agreed with you and written into your proposal and order.
10. Ordering and payment
You pay an order by entering its reference, together with your registered email address, PAN or GSTIN, on our payment page. We do not take payment without an order, and the payment page cannot change the plan or the amount. Payments are processed by our payment gateway (see Sub-processors); we do not see or store your card details.
A payment is a record that money has been received. It does not by itself create your account or switch anything on. A person at Complifly verifies the payment, and onboarding then begins. An order is valid for the period it states; if you pay after it has lapsed, we will contact you.
We issue a GST invoice for each payment, to the billing details on your order. If online payment is not available, we will arrange another way of paying. We never charge you automatically: each billing period is paid against an order we issue to you.
11. Term, renewal and ending the service
Your plan runs for the billing period on your order, from the activation date that we confirm to you in writing. It does not renew automatically. To continue, a new order is issued and paid before the period ends. If it is not, your access ends when the period does.
You can stop at any time by not paying the next order; the plan continues to the end of the period you have paid for. Either of us may end the agreement earlier if the other materially breaches it and does not put it right within 30 days of written notice. Refunds are covered in the Refund and Cancellation Policy.
When the agreement ends, we make your data available for you to export for the period stated in your order, then delete it, except for what the law requires us to keep.
12. What you are responsible for
You are responsible for:
- the accuracy and completeness of the data you send us, including GSTINs, HSN/SAC codes, values and tax amounts;
- deciding what to report and when, including meeting the deadlines and time limits that the GST rules set for e-invoices, e-way bills, cancellations and amendments, and extending an e-way bill before it expires;
- having what you need to use the service: a GST Suvidha Provider arrangement where one is required, access to your ERP, and any licences or changes your ERP vendor requires. For SAP, Oracle and other ERPs that connect through our REST API, development on the ERP side is agreed in your order;
- your users: giving access only to people who need it, keeping credentials and ERP connection secrets safe, removing people who leave, and everything done under your accounts;
- having the right to give us the data you send, including a lawful basis for any personal data in it;
- keeping your own books and the records the law requires. Complifly is not your book of account;
- taking part in onboarding: giving us the information and test time we ask for, and telling us promptly about anything that looks wrong.
13. Tax and government systems
Complifly is software. Nothing in the service is tax, legal or accounting advice, and it does not replace your advisers.
E-invoice and e-way bill rules, thresholds and time limits are set by the government and change. We update the service when they do, but we cannot promise an update will be ready before a change takes effect.
Government systems (the Invoice Registration Portal, the e-way bill portal and GSTN), your GST Suvidha Provider, your ERP, the payment gateway and your own network are outside our control. We are not responsible for their downtime, limits, rejections or changes, or for delay or failure that results from them.
14. Support and service levels
Our Service levels page summarises what we commit to today. A customer’s own support arrangements, including any response targets, are written into its order and apply instead where they differ. We make no uptime commitment unless your order states one.
15. Your data
You own the data you put into Complifly. You give us the right to process it, only to provide the service to you and as these terms and your instructions allow.
For the tax documents your organisation processes through Complifly, you decide why and how they are used and we process them on your behalf. The Privacy Policy explains our roles. We will sign a data processing agreement with you on request.
We use reasonable technical and organisational measures to protect your data. The Trust pages describe what we can show today; they are information, not a promise, unless your order says otherwise. If we become aware of a security incident that affects your data, we will tell your named contact without undue delay.
16. Confidentiality
Each of us will keep the other’s non-public business information confidential, use it only for the agreement, and share it only with people who need it for that purpose. This does not apply to information that is or becomes public without a breach of this clause, that the other already held or developed independently, or that the law requires it to disclose.
17. Ownership
We and our licensors own the service, the website, our documentation and the Complifly name and marks. During your term you may use the service for your organisation’s internal business. You may not copy it, resell it, reverse-engineer it or let others use it as their own. Any feedback you give may be used by us without obligation. We will not name you publicly as a customer without your written permission.
18. Acceptable use
You must not:
- use the service unlawfully, or to submit information you know to be false, or to create invoices or e-way bills for transactions that did not take place;
- upload malicious code, or probe, scan or test the security of the service without our written permission;
- overload the service, or work around its limits or access controls;
- share credentials, or give access to people outside your organisation without our agreement.
19. Suspension
We may suspend access if there is a security risk to the service or to other customers, if the service is being used unlawfully or against the acceptable use rules above, or if the law requires it. Except where the risk is urgent, we will write to you first and give you a reasonable time to put things right. We restore access once the reason has been resolved.
20. Our commitments and their limits
We will provide the service with reasonable skill and care and substantially as your order describes. We do not promise that the service will be uninterrupted or error-free, or that any government system will accept a submission. Except as these terms state, we give no other warranty, to the extent the law allows.
21. Limits on liability
Nothing in these terms limits liability that the law does not allow to be limited.
Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or business.
We are not liable for tax, interest, penalty, late fee, goods detention or transport cost that results from a document being late, rejected or not generated, where the cause is outside our control, in the information you supplied, or in a government system.
Our total liability to you for all claims arising in any period of twelve months is limited to the fees you paid for the service in the twelve months before the event that first gave rise to the claim, unless a signed agreement states a different limit.
22. Changes to these terms
We may update these terms. The version and date at the top show when they were last changed. Changes to the website terms take effect when we publish them. Changes to the service terms apply to your next order or renewal; we apply them earlier only where the law, or the security of the service, requires it, and we tell your named contact when we do.
23. Events beyond our control
Neither of us is liable for delay or failure caused by events beyond reasonable control, such as natural events, government action or orders, and failures of public networks or of government systems. This does not excuse a payment that is due.
24. General
These terms and your order are the whole agreement on their subject. Neither of us may transfer the agreement without the other’s consent, except that we may transfer it to a successor to our business. If a part is unenforceable, the rest stands. A delay in enforcing a right is not a waiver. Nothing makes us partners or agents of each other. Notices to you go to the email addresses on your order; notices to us go to Complifly@s3infotech.in and to our address above. Electronic acceptance and electronic records are valid, and we may keep a record of your acceptance.
25. Governing law and disputes
These terms are governed by the laws of India. If a dispute arises, we will first try to settle it by discussion between named contacts and then between senior managers, for up to 30 days. If that does not settle it, the courts at Noida, Uttar Pradesh have exclusive jurisdiction.
26. Contact
Questions about these terms: Complifly@s3infotech.in or +91-120-4129713.
What changed in this version
- First publication. The website-only Terms of Use draft is replaced by one Terms of Service: Part A covers the website; Part B adds the terms that apply when you buy and use the service, so that every plan has its terms published in one place.
Earlier versions are available on request.
